Terms of Service

Effective Date: 12-1-24

These Terms of Service (“Terms”) govern your access to and use of Infinite CRS (“Infinite CRS,” “we,” “us,” or “our”), including the CRM platform, websites built inside Infinite, pipelines, automations, messaging tools, data services, advertising integrations, and any Done-For-You (“DFY”) or Done-With-You (“DWY”) services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Definitions

“Customer” means the person or business entity using the Services.
“Account” means the Customer’s Infinite CRS login and workspace(s).
“Customer Data” means data the Customer submits or processes through the Services, including leads, contacts, messages, pipelines, files, and related records.
“Intent Data” means data generated from real internet behavior signals used for data-driven advertising and lead delivery, as described in the Services.
“Third-Party Services” means any outside platform or provider connected to the Services (e.g., Meta Ads Manager, email/SMS carriers, payment processors).

2. Services Provided

Infinite CRS provides a business operating system that may include (depending on your plan and configuration):

  • CRM functionality, pipelines, tasks, and workflow structure
  • Automations (email/SMS/notifications), routing logic, and lead handling flows
  • Websites and funnels built inside Infinite CRS and connected to pipeline logic
  • Messaging tools (SMS/email/voice) and related usage-based services
  • Data services including intent-based lead sourcing and advertising routing
  • Advertising integrations (e.g., Meta Ads Manager) when authorized by the Customer
  • DFY / DWY services including setup, configuration, creative production, and integration work

We may add, modify, or discontinue features from time to time. If a feature is discontinued, the rest of the platform remains available under the applicable subscription terms unless otherwise stated in writing.

3. Eligibility & Account Responsibilities

3.1 Eligibility

You must be legally able to enter into a binding contract to use the Services. The Services are intended for business use. If you are using the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your credentials.
  • You are responsible for all activity that occurs under your Account.
  • Notify us promptly if you suspect unauthorized access or misuse.
  • We may reset credentials upon request, but we do not retrieve or disclose existing passwords.

4. Subscription, Billing, and Payments

4.1 Pricing

Subscription fees, setup fees (if applicable), and any usage-based costs are disclosed at purchase/opt-in or in your agreement. Pricing may vary by plan, features, and services selected.

4.2 Usage-Based Charges

Certain features may incur usage-based fees (for example, VOIP, messaging, or other metered services). You are responsible for all usage generated under your Account, including usage generated by your team members or integrations.

4.3 Payment Failures

If payment is not received when due, we may suspend or restrict access to the Services until the balance is paid. Continued non-payment may result in termination.

4.4 Refund Policy

Refunds are only issued for payments collected in error after cancellation is confirmed. Refunds are not provided for failure to cancel by a due date. Cancellation is the Customer’s responsibility.

4.5 Cancellation

You may cancel via platform settings (if available) or by submitting a written request. Cancellation ends future billing but does not retroactively credit prior periods. You remain responsible for any outstanding balances and usage-based charges accrued prior to cancellation.

5. Data Ownership, Access, and Responsibility

5.1 Customer Data Ownership

You own your Customer Data. Infinite CRS does not claim ownership over Customer Data. You grant Infinite CRS a limited license to host, process, transmit, and display Customer Data solely to provide the Services.

5.2 Access for Support & Functionality

Infinite CRS may view and process Customer Data as necessary to provide support, maintain system functionality, address security issues, comply with legal obligations, or enforce these Terms. We do not sell Customer Data.

5.3 Data Export and Account Closure

You are responsible for exporting/downloading any Customer Data you wish to retain prior to cancellation/termination. After account closure, data may be deleted and may not be recoverable.

5.4 Customer Responsibility for Content and Compliance

You are responsible for the legality, accuracy, and compliance of your Customer Data and messaging content. This includes compliance with marketing, privacy, and communications laws and platform rules (e.g., SMS regulations, consent requirements, and ad platform policies).

6. Data Services & Intent-Based Lead Delivery

6.1 Nature of the Data Service

Infinite CRS data services may use Intent Data derived from real internet behavior signals (including searches related to a specific industry or service) to route advertising and deliver lead opportunities into Customer pipelines.

6.2 What We Do Not Do

  • We do not sell Customer Data.
  • We do not purchase third-party lead lists to resell as “data.”
  • We do not recycle or resell the same lead lists across multiple competing customers as a business model.
  • We do not guarantee revenue, closing rates, or conversion outcomes.

6.3 No Guarantee / Results Depend on Execution

Data services and advertising can improve targeting and intent, but outcomes depend on many factors outside our control, including your offer, pricing, response time, sales process, market conditions, and advertising spend. The Services are provided on an “as is” and “as available” basis.

7. DFY / DWY Services (Setup, Ads, Creative, and Integrations)

7.1 Authorization and Access

If you purchase DFY/DWY services, you authorize Infinite CRS to access relevant systems as needed to deliver the services (for example: Meta Ads Manager, domains, website assets, lead forms, tracking tools, and CRM configuration). You are responsible for providing accurate access and permissions.

7.2 Creative and Build Scope

DFY services may include ad copy, headlines, creative direction, images, lead forms, routing, and direct integration into Infinite CRS. Deliverables may vary depending on the package purchased and your business needs.

7.3 Third-Party Platform Rules

Advertising accounts are governed by the rules of the platforms they run on. Infinite CRS cannot control platform enforcement actions, rejections, restrictions, suspensions, policy changes, or outages.

8. Acceptable Use Policy

You agree not to use the Services for any unlawful, abusive, or harmful activities, including but not limited to:

  • Spam, scams, phishing, or deceptive messaging
  • Illegal goods/services, fraud, or identity theft
  • Harassment, threats, hate content, or abusive behavior
  • Unauthorized collection of personal data or violations of privacy laws
  • Attempting to bypass security, access restrictions, or system controls
  • Using the Services in a way that violates carrier rules, ad platform rules, or applicable laws

Violations may result in suspension or termination without notice, and we may report unlawful activity to appropriate authorities where required.

9. Service Availability, Maintenance, and Limitations

9.1 Availability

We aim for reliable uptime, but uptime is not guaranteed. Downtime may occur for maintenance, upgrades, emergency fixes, or third-party disruptions.

9.2 External Factors

Infinite CRS is not responsible for disruptions caused by factors outside our control, including internet outages, carrier issues, platform outages, “acts of God,” or third-party service interruptions.

9.3 Service Interruptions Caused by Infinite CRS

If a service interruption is directly caused by Infinite CRS and is not resolved within three (3) consecutive days, we may provide a credit or refund at our discretion based on the impacted service period. This does not apply to third-party outages or scheduled maintenance.

10. Intellectual Property

Infinite CRS and its underlying software, templates, workflows, content, and branding are owned by Infinite CRS or its licensors and are protected by law. You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription term.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFINITE CRS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFINITE CRS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFINITE CRS’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO INFINITE CRS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Dispute Resolution & Governing Law

These Terms are governed by the laws of the United States and the applicable state jurisdiction where Infinite CRS is headquartered, without regard to conflict of law principles.

You agree to attempt to resolve disputes informally by contacting us first. If a dispute cannot be resolved, it will be handled under the applicable U.S. jurisdiction.

14. Support & Communication

Support hours may be offered from 9:00 AM to 8:00 PM Central Time. We may adjust support availability at any time. We may contact you regarding system notices, service updates, security alerts, billing issues, and support-related communications.

15. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice via the platform or email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
